Best practices for accuracy and speed

Practical recommendations to reduce errors, ensure enforceability, and speed execution of the Business Document Almen West.

Use standardized contract templates
Keep a single approved template with locked core clauses to reduce negotiation cycles. Use version control and template IDs so parties, auditors, and reviewers reference the same operative document during negotiation and post-execution review.
Require signer authority verification
Confirm each signer's authority before signature by checking corporate resolutions, officer titles, or powers of attorney. Record signer role and supporting evidence; lack of authority commonly leads to later contract avoidance or challenge.
Include clear payment terms
Specify amounts, currencies, milestones, invoice timing, and late-payment remedies. Define who bears taxes or fees and include bank details as needed to reduce disputes and improve collections predictability.
Preserve audit trail and consent
When using electronic signing, capture consent, timestamps, IP addresses, and a certificate of completion. Maintain the record in retrievable format to meet ESIGN requirements and support admissibility in disputes or regulatory reviews.
