Common mistakes to avoid when preparing this document

  • Leaving party names as initials or nicknames; legal disputes rely on exact registered entity names for enforcement and collections.
  • Failing to specify governing law or jurisdiction, which creates uncertainty for dispute resolution and may invite forum-shopping.
  • Omitting payment schedules or using vague timing terms like 'within a reasonable time,' which complicates cashflow and collections.
  • Using initials instead of full signatures for corporate signatories when the corporate resolution requires a full name and title for validity.

Set clear payment terms
Define amounts, due dates, invoice procedures, and remedies for late payment so finance can automate collections and disputes can be resolved against objective criteria rather than subjective claims.
Standardize exhibits
