What the Business Document BDDS Is and where it fits

The Business Document BDDS is a standardized business agreement template used to record terms between commercial parties, define responsibilities, and establish payment or delivery obligations. It is designed for use in common commercial transactions, supports electronic completion and execution, and can be extended with exhibits, schedules, or attachments. When signed electronically it generally meets U.S. e-signature frameworks such as ESIGN and state UETA statutes for enforceability, subject to statutory exceptions and any required witness or notarization steps for specific jurisdictions.

Why use a formal BDDS template for business agreements

A consistent BDDS reduces drafting errors, improves auditability, and documents essential business terms clearly. It helps standardize internal approvals, supports electronic signature workflows, and creates a traceable record for compliance and dispute resolution.

Why use a formal BDDS template for business agreements

Common users and parties who work with the BDDS

The BDDS is commonly completed by contract owners, procurement teams, and authorized signatories who manage recurring commercial relationships.

  • Procurement managers and buyers who oversee supplier terms and approvals.
  • Finance teams responsible for payment terms, invoicing, and tax reporting.
  • Legal and compliance reviewers who confirm clauses and risk language.

Internal reviewers, legal counsel, and third-party approvers also review or sign the BDDS depending on company policy and the contract value.

Typical signers and their responsibilities

Authorized Officer

An executive or officer with delegated authority to bind the company. Responsible for final signoff, verifying financial terms, and ensuring the BDDS aligns with company policies and delegated limits.

Contract Manager

A procurement or operations lead who drafts and negotiates the BDDS terms, manages attachments and exhibits, tracks renewals, and coordinates internal approvals before routing to the authorized signer.

Key sections to include in a professional BDDS

A complete BDDS captures parties, scope, payment, timelines, risk allocation, and execution details; include clear exhibits and signature blocks to avoid ambiguity.

Parties & Recitals

Identify each legal entity exactly, include business type (LLC, corp) and a brief recital that explains the purpose or background of the transaction.

Primary Terms

Define scope, deliverables, quantities, milestones, acceptance criteria, and any performance standards necessary to measure compliance.

Payment and Consideration

State precise amounts, billing frequency, currency, taxes, invoice requirements, and payment terms including late fees or discounts for early payment.

Confidentiality & IP

Include confidentiality obligations, data handling rules, and intellectual property ownership or license terms for deliverables created under the BDDS.

Liability & Remedies

Limitations on liability, indemnities, liquidated damages or cure periods should be plainly stated to reduce future disputes.

Signature & Governing Law

Provide signature blocks with printed names, titles, dates, and specify governing law and dispute-resolution procedures, including venue for litigation or arbitration.

  • Leaving ambiguous payment terms or milestones, which creates disputes over amounts and timing.
  • Failing to attach referenced exhibits, which can render essential terms unenforceable or incomplete.
  • Skipping authentication controls for high-value contracts, increasing fraud and repudiation risk.
