WHEREAS, Party A operates a business engaged in the development and commercialization of certain products and services and has requested Party B to provide business development, advisory and related services in accordance with the terms set forth herein; and

WHEREAS, Party B represents that it has the necessary experience, expertise and personnel to perform the services described in this Agreement and is willing to perform such services for Party A under the terms and conditions contained herein.

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth below, the parties agree as follows:

1. Scope of Work

The services furnished by Party B shall include, without limitation, the tasks described above and any other tasks mutually agreed in writing. Party B will perform the services in a professional and workmanlike manner consistent with industry standards and will comply with all applicable laws, rules and regulations in the performance of its obligations.

2. Payment Terms

All fees are payable in United States Dollars unless otherwise agreed in writing. Invoices are due as stated in the Payment Schedule. Any undisputed amount not paid within the agreed timeframe shall accrue interest at the rate specified above and the prevailing collection costs shall be borne by the defaulting party.

3. Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach if such breach is not cured within the notice period specified above following written notice. Termination shall not relieve either party of obligations accrued prior to termination, including payment obligations.

4. Confidentiality

Each party agrees that it will not disclose or use any Confidential Information of the other party except as necessary to perform obligations under this Agreement. "Confidential Information" includes trade secrets, business plans, financial information, customer lists, and other information designated as confidential or that reasonably should be understood to be confidential.

The obligations set forth in this section shall survive termination or expiration of this Agreement for the period specified above, except with respect to Confidential Information that becomes public through no breach by the receiving party or is independently developed without use of the disclosing party's Confidential Information.

5. Representations & Acknowledgements (R&A)

Each party represents and warrants that: (a) it has full corporate or individual authority to enter into and perform this Agreement; (b) the execution and performance of this Agreement will not violate any agreement or obligation to any third party; and (c) it will comply with all applicable laws and regulations in performing its obligations.

6. Intellectual Property; Assignment of Rights

Except as expressly agreed in writing, each party retains all right, title and interest in and to its pre-existing intellectual property. To the extent any intellectual property is created by Party B specifically for Party A under this Agreement, Party B hereby assigns and agrees to assign all right, title and interest in such deliverables to Party A upon receipt of full payment, subject to any licenses expressly granted in writing.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its choice-of-law principles. Exclusive venue for any dispute arising under this Agreement shall be the state or federal courts located in that jurisdiction.

8. Entire Agreement

This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

9. Miscellaneous Provisions

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. No waiver of any breach shall constitute a waiver of any other or subsequent breach. Notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing.
