Common Preparation Mistakes to Avoid

  • Using informal or abbreviated legal names leads to mismatches in tax reporting or vendor payments and can trigger backup withholding.
  • Leaving payment terms vague (for example, 'reasonable payment') creates disputes and slows collections; use explicit amounts or net terms.
  • Failing to confirm signer authority causes post-execution challenges and may invalidate obligations if the signer lacked power to bind the entity.
  • Not capturing a retained audit trail for e-signed documents makes it difficult to prove intent and attribution during disputes or audits.

Risks and Potential Consequences of Incorrect Documents

Tax Reporting: Incorrect TIN triggers backup withholding under IRS rules
Late Filings: May incur IRC §6721 penalties for information returns
Invalid Signatures: Signed by unauthorized person risks unenforceability
HIPAA Violations: Improperly handled PHI can result in HIPAA sanctions
Contract Disputes: Ambiguous terms invite litigation and extra costs
Data Loss: Poor storage exposes records to compliance breaches
