Practical Tips to Reduce Risk and Speed Execution

Practical tips to reduce errors, speed approvals, and preserve legal strength when using the Business Document Berry Company.

Verify signer identity and authority
Confirm signers are authorized corporate officers or agents with delegated authority; cross-check names against formation documents or corporate resolutions. For third-party vendors, require W-9 or tax identification and include signatory title to prevent future challenges to authority.
Use consistent party names and dates
Enter full legal entity names, avoid acronyms, and use MM/DD/YYYY for dates. Inconsistent naming or date formats can cause mismatches during tax reporting, payment processing, and court review; standardization simplifies automation and record searches.
Keep attachments organized and referenced
Attach exhibits, schedules, and specifications as labeled appendices referenced by clause. Numbered exhibits and a table of contents reduce disputes over scope. Store attachments in the same signed PDF to preserve integrity and simplify audits.
Preserve an unaltered executed copy securely
Retain the final signed document with audit trail and metadata. Do not overwrite executed files; store PDF/A or equivalent archival formats and ensure access controls. Maintain separate backup copies for legal holds and discovery requests to meet compliance obligations.
