Common Timelines and Filing Deadlines to Watch

Some associated forms or tax reporting events have fixed deadlines; align document dates to those schedules to avoid late penalties.

No filing deadline — provide on payer request.

1099-NEC:

Recipient and IRS deadline is Jan 31 each year.

1099-MISC:

Recipient due Jan 31; IRS paper Feb 28, electronic Mar 31.

Form 1040:

Individual return due April 15 (extension to Oct 15 with Form 4868).

I-9:

Retain for 3 years after hire or 1 year after termination, whichever is later.

Common Preparation Errors to Avoid

  • Using inconsistent entity names between the document and formation filings, which can delay bank or agency processing.
  • Failing to include a precise effective date or using ambiguous wording like 'upon signing' without defining execution order.
  • Omitting the signer’s capacity or title, which can raise questions about authority and enforceability.
  • Not preserving the audit trail or copying signed PDFs to the corporate record, creating disputes about what was agreed.

Risks and Potential Penalties from Errors

Contract Invalidity: Ambiguous terms risk unenforceability
Tax Penalties: Incorrect TINs can trigger IRC §6721 penalties
Backup Withholding: Missing or wrong TIN may cause 24% withholding
Filing Late Fees: Late information returns incur per-form fines
Compliance Breach: Insufficient PHI controls violate HIPAA (if applicable)
Record Loss: Failure to retain records hinders audits or disputes
