Practical Tips to Ensure a Clean, Enforceable Document

Apply these practices to reduce errors, accelerate approval, and preserve legal integrity when using the Business Document Brantley.

Use Consistent Entity Names
Always use the exact legal name and entity type (LLC, Inc., etc.). Mismatched names can cause tax reporting errors and challenge enforceability in disputes.
Be Specific About Deliverables
Define measurable acceptance criteria and timelines. Vague deliverables lead to disagreements; attach SOW exhibits with dates and measurable outcomes to reduce interpretation risk.
Document Authority to Sign
Include a signatory block with printed name and title and verify signer's authority internally before execution to avoid ratification issues.
Preserve the Audit Trail
Use an eSignature platform that records timestamps, IP addresses, and signer actions so signed PDFs are supported by a compliant audit record.

Common Preparation Mistakes to Avoid

  • Leaving dates blank or using inconsistent date formats, which creates ambiguity about when obligations start or deadlines run.
  • Failing to name the correct legal entity or using a trade name without the registered company name, causing tax and enforceability problems.
  • Not confirming signer authority before execution, producing later challenges to the contract's validity or need for ratification.
  • Attaching exhibits without cross-references in the main body, leading to missing obligations or mismatched expectations.
