Essential Components to Include in a Professional COUSINEAU R&P

Ensure each core clause is present and clearly drafted; omissions or vague language frequently cause disputes and enforcement delays.

Parties

Identify full legal names and entity types, including any DBA references. Clarify which affiliated entities, if any, are bound by the agreement to avoid later challenges.

Term and Termination

Specify effective date, duration, renewal mechanics, and termination for cause or convenience. Include notice periods and obligations that survive termination.

Payment and Invoicing

State invoicing cadence, accepted payment methods, late fees, and remedies for nonpayment. Link invoicing references to exhibits when needed for clarity.

Scope and Deliverables

Describe services or goods, acceptance criteria, milestones, and change-order procedures. Attach technical exhibits or SOWs to prevent scope disputes.

Liability and Indemnity

Allocate risk through caps, exclusions, and indemnity language. Use precise limits and carve-outs for consequential damages as negotiated.

Governing Law and Venue

Name the governing state law and dispute forum. Clarify arbitration vs. court resolution and address attorney fee allocation where applicable.

Security and Legal Data Points to Preserve Contract Integrity

Encryption in Transit: TLS 1.2/1.3
Encryption at Rest: AES-256 encryption
Audit Trail: Time-stamped log retained
Regulatory Certs: SOC 2 Type II available
Healthcare: HIPAA (BAA required)
eSignature Law: ESIGN and UETA compliant

Key Risks and Penalties from Errors or Missing Information

Contract Invalidity: Ambiguous signatory names risk unenforceability
Tax Penalties: Incorrect reporting may trigger IRS fines
I-9 Violations: Paperwork errors carry DHS fines
HIPAA Breach: Unauthorized PHI disclosure incurs penalties
Late Filing Fees: State filing delays can add fees
Backup Withholding: Missing TIN can trigger 24% withholding

Common Preparation Mistakes to Avoid

  • Using informal or abbreviated legal names that do not match formation documents, which complicates enforcement and tax reporting.
  • Leaving payment terms vague (for example, saying 'timely payment' instead of specifying net days and late interest).
  • Failing to attach exhibits or SOWs referenced in the body, creating uncertainty about deliverables and acceptance criteria.
  • Not confirming signer authority before execution, which can lead to later challenges over ratification or estoppel.

Technical and Integration Considerations for eSubmission

Ensure the chosen solution captures an audit trail, supports required authentication strength, and can export tamper-evident signed PDFs for long-term storage.

  • Supported Formats: PDF, DOCX, HTML, XLSX
  • Integrations: Salesforce, Microsoft 365, NetSuite, Google Workspace
  • Authentication: Email, SMS, KBA, or SSO/SAML
