BUSINESS DOCUMENT CUSDCO

This Business Document CUSDCO (the "Agreement") is entered into as of Effective Date: by and between:

RECITALS

WHEREAS, Party A is engaged in the business of providing professional services, expertise, and deliverables as described in this Agreement; and

WHEREAS, Party B desires to retain Party A to perform the services set forth herein and Party A is willing to provide such services under the terms and conditions of this Agreement; and

WHEREAS, the parties desire to memorialize their respective rights and obligations with respect to the engagement in accordance with the terms below.

SCOPE OF WORK

Party A shall perform the services and deliverables described below. The scope may be amended only by written Change Order executed by both parties.

PAYMENT TERMS

In consideration for the performance of the Scope of Work, Party B shall pay Party A as follows:

All payments are due in US dollars unless otherwise agreed. Party A shall submit itemized invoices which shall reference applicable milestones and acceptance. If Party B disputes an invoice in good faith, Party B must notify Party A in writing within ten (10) days of receipt specifying the basis for the dispute; undisputed amounts remain payable as provided above.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing Notice Period: written notice to the other party. Either party may terminate immediately for material breach if the breaching party fails to cure the breach within thirty (30) days after written notice specifying the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in strict confidence all non-public information disclosed by the other party (the "Disclosing Party") that is designated as confidential or that should reasonably be understood to be confidential. Confidential information shall not include information that is or becomes publicly known through no breach of this Agreement, is independently developed by the Receiving Party without use of the Disclosing Party's confidential information, or is rightfully obtained from a third party.

The Receiving Party shall use confidential information solely for performance of this Agreement and shall take reasonable measures to protect it from unauthorized disclosure. Upon termination, the Receiving Party will promptly return or destroy the Disclosing Party’s confidential materials as requested in writing.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The parties agree that any dispute arising under this Agreement shall be resolved in the courts located within that state, unless the parties mutually agree in writing to alternative dispute resolution.

ADDITIONAL PROVISIONS

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or acquisition. Indemnification: Each party shall indemnify and hold harmless the other from third-party claims arising from the indemnifying party’s negligence or willful misconduct. Limitation of Liability: Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party’s aggregate liability shall exceed the total amounts paid under this Agreement in the twelve (12) months preceding the claim.

ENTIRE AGREEMENT

This Agreement, together with any written Change Orders and attachments executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, or communications, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above, or to such other address as a party may designate by notice to the other party.
