Recitals

WHEREAS, Client and Contractor desire to enter into a written agreement for services described herein effective as of (the Effective Date), and

WHEREAS, Contractor represents that Contractor has the expertise, personnel, and qualifications necessary to perform the services in a professional manner and in accordance with industry standards; and

WHEREAS, Client desires Contractor to perform the services described below and Contractor agrees to perform such services under the terms and conditions set forth in this Business Document Dec Page.

Scope of Work

Contractor shall perform the services described above in a good and workmanlike manner consistent with applicable professional standards. Any changes to the Scope of Work shall be documented in a written change order signed by both parties prior to commencement of such changes.

Payment Terms

All invoices are due in accordance with the Payment Schedule. If any payment is not received within the time specified, unpaid amounts shall accrue interest at the rate specified in the Late Fee field above, and Contractor may suspend performance after providing written notice of intent to suspend if payment remains unpaid after ten (10) days following such notice.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon delivering the notice period set forth above. Either party may terminate immediately for material breach by the other party that remains uncured for ten (10) days following written notice specifying the breach. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

Confidentiality

Each party (the Recipient) shall hold in strict confidence and shall not use or disclose any Confidential Information of the other party (the Discloser) except as necessary to perform this Agreement. "Confidential Information" means non-public information disclosed in any form that is designated as confidential or that a reasonable person would understand to be confidential. Obligations of confidentiality shall survive termination for a period of years from the date of disclosure.

The obligations in this clause shall not apply to information that (i) is or becomes generally known to the public other than by the Recipient's breach; (ii) was in the Recipient's possession prior to disclosure by the Discloser; (iii) is independently developed by the Recipient without use of the Discloser's Confidential Information; or (iv) is required to be disclosed by law or court order, provided the Recipient gives prompt written notice to the Discloser and cooperates in any lawful effort to limit disclosure.

Representations; Warranties; Liability

Each party represents and warrants that it has the power and authority to enter into this Agreement and to perform its obligations. Contractor warrants that services will be performed in a professional manner. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" AND NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, AND LIABILITY SHALL BE LIMITED to direct damages not to exceed the total amount paid by Client to Contractor under this Agreement in the preceding twelve (12) months.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. Exclusive venue for any dispute arising out of this Agreement shall be in the state or federal courts located within that state.

Entire Agreement

This document, together with any signed attachments or exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification must be in writing and signed by both parties.
