This General Business Agreement (the "Agreement") is entered into as of (Effective Date) by and between:

Recitals

WHEREAS, the Client desires to engage the Service Provider to perform certain services described herein and the Service Provider has the experience and capacity to perform such services under the terms set forth in this Agreement; and

WHEREAS, the parties wish to define their respective rights and obligations with respect to the services, payment, confidentiality and related matters.

Payment Terms

Term and Termination

Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination for any reason, the Client shall pay the Service Provider for all services performed and expenses incurred through the effective date of termination, including any non-cancellable commitments.

Confidentiality

Definition: "Confidential Information" means all non-public information disclosed by one party to the other, whether oral, written or electronic, that is designated as confidential or which, given the nature of the information, ought reasonably to be treated as confidential.

Obligations: Each receiving party shall (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party except as expressly permitted herein, and (c) use Confidential Information solely for the purposes of performing obligations under this Agreement. The receiving party shall take reasonable measures to protect Confidential Information from unauthorized disclosure.

Exceptions: Confidential Information does not include information that is (i) publicly available through no fault of the receiving party, (ii) rightfully received from a third party without restriction, (iii) independently developed without use of the disclosing party's Confidential Information, or (iv) required to be disclosed by applicable law or by order of a court or government authority.

Duration: The confidentiality obligations set forth in this section shall survive termination of this Agreement for years, except that trade secrets shall be protected for as long as they qualify as trade secrets under applicable law.

Representations, Warranties and Indemnity

Each party represents and warrants that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. The Service Provider warrants that services will be performed in a professional and workmanlike manner in accordance with industry standards. The Service Provider agrees to indemnify and hold harmless the Client from any third-party claims arising from the Service Provider's negligent acts or willful misconduct in the performance of services.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice-of-law principles.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous understandings, agreements and communications, whether written or oral. Miscellaneous
