Key timing and deadline considerations

Certain dates in Business Document Doc 1 affect performance, tax reporting, and statutory retention; enter them precisely and follow associated deadlines.

Effective Date Accuracy:

Use MM/DD/YYYY; it controls performance start and statute calculations

Tax Reporting Triggers:

Payments may generate 1099 reporting with Jan 31 recipient deadlines

Executor/Counterparty Response:

Set clear sign-by dates to avoid late acceptance

Retention Start:

Retention clocks typically begin on the effective or filing date

Contract Renewal:

Allow notice windows (30–90 days) before automatic renewal

Common legal and administrative risks to avoid

Incorrect Name: Can void tax reporting or hinder enforcement
Missing Signature: Lack of signature undermines enforceability
Improper Date: May misalign statute of limitations or payment terms
Insufficient Authentication: Weak signer identity increases repudiation risk
Failure to Retain: Violates regulatory retention requirements
Late Tax Filings: May trigger IRC §6721 penalties for information returns

Four avoidable mistakes that delay execution

  • Using informal or abbreviated legal names that don’t match formation documents
  • Leaving fields blank or using placeholders like 'TBD' in core payment or scope sections
  • Sending to signers without confirming authority or role, causing re-signatures
  • Not specifying governing law and venue, which can complicate dispute resolution
