WHEREAS

WHEREAS, Client desires to retain Service Provider to perform certain business services on the terms and conditions set forth in this Agreement; and

WHEREAS, Service Provider represents that it has the experience, capabilities and personnel necessary to perform the services described herein and agrees to perform such services in a professional and workmanlike manner consistent with industry standards; and

WHEREAS, the parties desire to set forth the terms governing the engagement, payment, confidentiality and termination of the relationship.

SCOPE OF WORK

Service Provider shall perform the Services described above and any ancillary tasks reasonably necessary to complete the Services. Any material changes to the Scope of Work must be agreed in writing by authorized representatives of both parties and may be subject to additional fees and schedule adjustments as set forth below.

PAYMENT TERMS

Unless otherwise agreed in writing, invoices are due within days of invoice date. Accepted payment methods shall be those mutually agreed and documented in writing.

Any undisputed amount not paid when due shall accrue interest at the lesser of (i) the highest rate permitted by applicable law, or (ii) % per month, plus reasonable collection costs and attorneys' fees.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach that remains uncured for a period of 15 days following written notice of such breach. Termination shall not relieve Client of its obligation to pay for Services performed and expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential all non-public, proprietary or confidential information disclosed by the other party (the "Disclosing Party") and shall not use such Confidential Information except as necessary to perform its obligations under this Agreement. Confidential Information does not include information that (i) is or becomes public through no breach by the Receiving Party; (ii) was rightfully in the Receiving Party's possession prior to disclosure; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed without reliance on Confidential Information. Upon termination, the Receiving Party shall return or destroy Confidential Information as requested by the Disclosing Party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits and written amendments signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous negotiations, proposals, representations and agreements, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all assets. The parties are independent contractors and nothing in this Agreement creates an employment, agency or joint venture relationship. If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
