Parties and Recitals

This Business Document DPP (the Agreement) is entered into effective as of (Effective Date), by and between:

WHEREAS, Client desires to procure certain business services and deliverables described herein, and Contractor is willing and able to provide such services under the terms and conditions set forth in this Agreement;

WHEREAS, the parties intend for this Agreement to define the scope, schedule, payment, confidentiality, and other material terms governing the relationship between the parties for the services identified as the "DPP" engagement; and

WHEREAS, the parties acknowledge that timely performance, acceptance criteria, and mutual cooperation are essential to the economic objectives of this engagement.

Scope of Work

Contractor shall perform the services and deliver the work product described below. Contractor shall perform such services in a good and workmanlike manner consistent with industry standards and the schedule set forth in this Agreement.

Payment Terms

Client shall compensate Contractor for the services and deliverables as follows.

Late payments shall bear interest and fees as set forth below.

In addition to any interest, Client will be responsible for reasonable costs of collection, including attorneys' fees, for any overdue amounts not promptly remitted.

Term and Termination

This Agreement commences on and continues until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after receipt of written notice specifying the breach. Either party may also terminate for convenience upon prior written notice of days.

Upon termination, Contractor shall deliver all completed work and Client shall pay Contractor for all services performed and approved expenses incurred through the effective date of termination, subject to offset for valid claims for nonconforming work.

Confidentiality

Each party (the Recipient) shall keep strictly confidential all information disclosed by the other party (the Discloser) that is identified as confidential or that, by its nature, should reasonably be considered confidential (Confidential Information). Confidential Information includes business plans, technical data, pricing, customer lists, and any work product arising from this Agreement.

The Recipient shall not disclose Confidential Information to any third party except to those employees, agents or subcontractors with a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years, except with respect to trade secrets, which shall remain protected for so long as they constitute trade secrets under applicable law.

Intellectual Property and Work Product

Unless otherwise agreed in writing, Contractor hereby assigns to Client all right, title and interest in and to any deliverables and work product specifically created for Client under this Agreement. Contractor retains ownership of its pre-existing materials, tools, methodologies, and general know-how, provided no Client Confidential Information is included therein. The parties shall execute further instruments reasonably necessary to effectuate the assignment contemplated by this Section.

Limitation of Liability; Indemnification

Except for liability arising from willful misconduct, gross negligence, or breach of confidentiality, neither party shall be liable to the other for incidental, consequential, special or punitive damages. Each party shall indemnify, defend and hold harmless the other party from third-party claims arising out of its negligence or willful misconduct in performing its obligations under this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. Exclusive venue for disputes shall be the state or federal courts located in such state unless the parties otherwise agree in writing.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all assets.
