Practical Tips for Accurate Completion

Adopt consistent habits to shorten review cycles and keep contract records compliant and auditable.

Use Standardized Language
Favor template clauses that have been reviewed by counsel to reduce negotiation time and to maintain consistent allocation of legal risk.
Validate Signer Authority
Confirm signers have corporate authority or attach board resolutions; signatures by unauthorized agents can render agreements voidable.
Preserve Audit Trails
Keep the signed PDF and the platform certificate of completion to document intent, timestamp, and signer identity for enforcement or audit.
Version Control
Label drafts clearly and maintain a change log to avoid confusion over which version is binding after execution.

Common Preparation Pitfalls to Avoid

  • Mismatched party names between contract and tax records causing backup withholding or payment delays.
  • Vague scope language that leads to disputes over deliverables, acceptance, and payment triggers.
  • Missing or incorrect effective dates that shift when obligations and warranties begin.
  • Failure to preserve the signed record and audit trail undermining proof of execution.

Risks and Consequences of Incorrect Completion

Tax Reporting: Missing or incorrect payee TINs can trigger backup withholding (24%) and IRS penalties under IRC §6721 for incorrect returns.
Enforceability: Unsigned or improperly signed agreements may be unenforceable under ESIGN (15 U.S.C. ch. 96) or state contract law.
Operational Delay: Ambiguous payment terms can delay invoicing and cashflow, increasing carrying costs and administrative work.
Regulatory Exposure: Improper handling of protected data can trigger HIPAA penalties and corrective action; a BAA is required for covered entities.
Notary/Witness Errors: Missing notarization or witness formalities where required can impair recordability or title transfer in real estate contexts.
Fraud Allegations: Insufficient signer authentication raises challenges to attribution and may undermine evidentiary value in disputes.
