BUSINESS DOCUMENT EDOCS

This General Business Agreement (Agreement) is made effective as of by and between:

WHEREAS

WHEREAS, Client Name is engaged in the operation of its business and requires certain professional services and deliverables to be performed on the terms set forth herein; and

WHEREAS, Service Provider Name represents that it has the skill, experience and resources necessary to perform the services described in this Agreement and is willing to perform such services for Client Name under the terms and conditions stated below; and

WHEREAS, the parties desire to set forth the terms and conditions of their agreement in writing.

SCOPE OF WORK

Service Provider shall perform the services and deliverables described below. Services will include all tasks, deliverables, milestones, schedules and acceptance criteria specified by the parties. Any material changes to scope shall be documented and approved in writing as a change order and will be subject to additional fees as agreed.

PAYMENT TERMS

Client shall pay Service Provider for the services described above in accordance with the following terms. All fees are stated in the currency indicated and exclude applicable taxes unless otherwise specified. Service Provider shall submit invoices in writing in the form reasonably required by Client.

All undisputed amounts not paid by the due date shall accrue interest at the rate specified above or the maximum rate permitted by law, whichever is lower. Client shall reimburse Service Provider for reasonable costs of collection, including attorneys' fees, for past-due invoices.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the End Date, unless earlier terminated pursuant to this Section. Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified below.

Upon termination, Client shall pay Service Provider for all work performed and reasonably incurred costs through the effective termination date. Termination shall not relieve either party of obligations that by their nature survive termination, including payment and confidentiality obligations.

CONFIDENTIALITY

Each party (Receiving Party) shall hold in confidence all non-public information disclosed by the other party (Disclosing Party) that is identified as confidential or would reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Receiving Party shall not use Confidential Information except to perform its obligations under this Agreement and shall not disclose Confidential Information to any third party except to its employees, contractors or advisors who have a need to know and are bound by confidentiality obligations no less protective than those herein.

Confidential Information does not include information that (a) is or becomes publicly known through no breach by Receiving Party; (b) was in Receiving Party's possession prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of the Disclosing Party's Confidential Information. Upon request, Receiving Party shall return or destroy Confidential Information in its possession.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state identified below, without regard to that state's conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located therein for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any written change orders or schedules executed by the parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous negotiations, proposals, communications and agreements, whether written or oral. No amendment to this Agreement is effective unless made in writing and signed by both parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below or such other address as either party designates by notice in accordance with this Section. Notices are effective upon receipt when delivered by hand, three business days after deposit in the mail when sent by certified mail, or the next business day when sent by overnight courier.
