RECITALS

WHEREAS, Client requires certain business services and specialized deliverables as described in this Agreement; and

WHEREAS, Service Provider represents that it has the experience, skill and capacity to provide such services and deliverables under the terms set forth below; and

SCOPE OF WORK

PAYMENT TERMS

TERM AND TERMINATION

The obligations of confidentiality shall survive termination for a period of years from the date of termination.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Any disputes arising under this Agreement shall be resolved in the courts competent in that state.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the Parties concerning the subject matter and supersedes all prior agreements, understandings and negotiations, whether written or oral. No amendment is effective unless in writing and signed by authorized representatives of both Parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a Party may designate in writing.

ADDITIONAL PROVISIONS

Relationship of Parties: The Parties are independent contractors. Nothing contained herein creates an employment, partnership, joint venture or agency relationship between the Parties. Service Provider is responsible for all taxes and insurance related to its personnel unless otherwise agreed in writing.
