Use clear scope and deliverables
Write measurable acceptance criteria and milestone dates to reduce disputes. Attach exhibits or statements of work to capture technical details that would otherwise be ambiguous in the main agreement.
Confirm signatory authority in advance
Verify that the named signer has authority to bind the organization; require a corporate resolution or officer certification for unusual transactions to avoid later challenges.
Standardize payment and notice language
Use consistent currency, invoicing addresses, and notice recipients across clauses. A single defined payment term prevents conflicting interpretations and eases accounting reconciliation.
Preserve audit trail and backups
Retain signed PDFs, certificate of completion, and system logs showing IP addresses and timestamps to support enforceability and respond to audits or disputes.
