  • Relying on witness or notarization rules without checking state-specific requirements for deeds, POAs, or real estate documents.

Practical Tips for Accurate and Efficient Completion

Use full legal names consistently
Verify names against formation documents or government ID to ensure the party named in the contract is the actual legal entity or individual who holds rights or obligations.
Document signer authority
Attach a board resolution, power of attorney, or officer certification where required to demonstrate the signer had authority to bind the entity at the time of signing.
Retain audit evidence
Store the signed PDF, certificate of completion, and any authentication logs to evidence intent, attribution, and the signing process for future disputes or audits.
Standardize amendment language
Use a defined amendment clause and require written, signed amendments to avoid oral modification disputes and maintain a clear contract record.
