What the Business Document Faegre Drinker Is

The Business Document Faegre Drinker is a corporate agreement template commonly used to memorialize commercial terms between business entities, such as engagement letters, service agreements, or vendor contracts. It organizes parties, scope of work, payment and termination terms, confidentiality, and governing law into a single, enforceable document intended for commercial transactions. The template is adaptable for different industries but typically includes signature blocks, effective date, exhibits describing deliverables, and a dispute resolution clause. Users should treat the form as a starting point and confirm industry-specific requirements or mandatory statutory language before final execution.

Why this Template Matters for Your Transactions

A clear, standardized Business Document Faegre Drinker reduces ambiguity in commercial relationships, sets mutual expectations, and captures evidence needed to enforce rights or obligations.

Why this Template Matters for Your Transactions

Who Typically Completes the Business Document Faegre Drinker

Different users interact with this document at distinct stages — drafting, review, approval, and signature.

  • In-house counsel and external lawyers reviewing legal clauses and compliance requirements.
  • Procurement and operations teams confirming deliverables, milestones, and acceptance criteria.
  • Finance and accounting validating payment schedules, taxes, and invoicing details.

Assign roles early: legal drafts, operations confirm scope, finance verifies payment terms, and authorized signers complete execution to avoid delays.

Roles Authorized to Sign and Their Typical Duties

Authorized Signer

An Authorized Signer is an individual explicitly empowered by board resolution or corporate bylaw to bind the company. Ensure the signer’s title and authority are current; verify that signatures match corporate records to prevent challenges to enforceability.

Corporate Officer

A Corporate Officer (CEO, CFO, COO) frequently signs higher-value agreements and attestations. Confirm that authority thresholds in internal policy cover the agreement value and attach any required corporate approval documentation to the executed file.

Practical Tips for Accurate and Efficient Completion

Adopt these practices to reduce negotiation cycles and post-execution issues.

Use consistent templates

Verify signer authority
Confirm signers against corporate records or a board resolution to prevent later challenges to contract validity.
Preserve audit metadata
Capture timestamps, IP addresses, and signed copies to support enforceability and compliance obligations.
