Common mistakes to avoid

  • Using informal or differing party names that do not match formation documents or IDs, creating enforcement ambiguity.
  • Leaving payment terms vague (e.g., 'reasonable' or 'as agreed') that invite disputes over timing and amounts.
  • Failing to confirm signer authority, which can render the agreement voidable by the counterparty.
  • Not accounting for local notarization or witness rules when the document requires them, causing acceptance delays.

Risks and legal consequences of errors

Invalid Signature: May lead to unenforceable obligations
Incorrect Dates: Can affect notice periods and performance timelines
Missing Notary: May void execution where notarization is required
Tax Exposure: Inaccurate payment terms may trigger reporting errors
Privacy Violations: Improper handling of personal data risks HIPAA/CCPA issues
Late Filings: Regulatory or permitting delays and fines
