  • Using a nickname or abbreviated business name instead of the full legal entity name can create enforceability and payment issues.
  • Leaving payment terms vague (for example, 'due within a reasonable time') increases the risk of disputes and delayed collections.
  • Failing to specify the signer’s capacity when an individual signs for an entity can lead to questions about authority during enforcement.
  • Not capturing an audit trail or certificate of completion when eSigning may complicate later proof of consent and execution.

Consequences of errors or incomplete execution

Voidable Terms: Ambiguous clauses risk unenforceability
Payment Delays: Unclear payment terms delay receipts
Backup Withholding: Incorrect TIN may trigger 24% backup withholding
Tax Penalties: Late or incorrect info returns incur IRC §6721 penalties
Authority Disputes: Unauthorized signer may invalidate contract
Evidence Gaps: Missing audit trail undermines attribution
