  • Omitting the governing state clause or selecting a state with no connection to the agreement.
  • Using vague consideration language such as reasonable value, rather than explicit dollar amounts or formulas.

Practical Tips to Complete the Document Accurately

Adopt these practices to reduce execution friction, preserve legal effect, and streamline recordkeeping.

Standardize Party Names and Titles
Use the exact legal entity name and authorized signer title listed in corporate formation documents to prevent disputes and payment holds. Cross-check with recent government filings or the company registration record.
Use Clear Payment Terms
Specify exact amounts, invoicing cadence, late fees, and acceptable payment methods. Clear payment definitions reduce billing disputes and help your accounting team apply backup withholding correctly where required.
Choose Appropriate Authentication
For low-risk agreements, email link authentication is usually sufficient. For higher-risk or regulated matters, use SMS, knowledge-based authentication, or advanced signer verification to strengthen attribution.
Preserve an Audit Trail
Retain timestamped evidence of signing events, IP addresses, and consent disclosures. This supports enforceability under ESIGN (15 U.S.C. §7001) and state UETA statutes.
