Invoices shall be due and payable within days of receipt. Overdue amounts shall incur a late fee equal to % per month (or the maximum permitted by law), plus any collection costs and interest permitted by law.

Term and Termination

This Agreement commences on the Start Date and, unless earlier terminated in accordance with this Agreement, continues until the End Date.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for material breach may be immediate if the breaching party fails to cure within a reasonable cure period as specified in a written notice.

Confidentiality

Each party shall hold in confidence all nonpublic information disclosed by the other party that a reasonable person would understand to be confidential ("Confidential Information"). Confidential Information does not include information that is (a) already known to the receiving party without restriction, (b) publicly available without breach of this Agreement, (c) rightfully received from a third party without restriction, or (d) independently developed without use of the other party's Confidential Information.

The receiving party shall use Confidential Information solely for the purpose of performing obligations under this Agreement and shall protect such information with the same degree of care it uses to protect its own confidential information, but no less than a reasonable standard of care.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for any dispute arising out of or relating to this Agreement.

Entire Agreement

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other, except that Service Provider may assign to a successor in connection with a merger or sale of substantially all of its assets.
