Recitals

WHEREAS, Client requires certain business services and desires to engage Service Provider to perform those services on the terms and conditions set forth in this Agreement; and

WHEREAS, Service Provider represents that it has the experience, personnel, and resources necessary to perform the services described herein and agrees to provide such services to Client in accordance with the terms of this Agreement; and

1. Scope of Work

1.1 Services. Service Provider shall perform the services and deliverables described below in a professional manner consistent with industry standards.

2. Payment Terms

2.1 Contract Amount. Client shall pay Service Provider the total sum as set forth below for the full performance of the Scope of Work.

2.2 Invoicing and Payment. Service Provider shall submit itemized invoices in accordance with the Payment Schedule. Unless otherwise agreed in writing, Client shall pay undisputed invoices within the Invoice Terms. Late payments shall accrue interest at the stated Late Fee and Service Provider may suspend performance following ten (10) days' written notice if invoices remain unpaid.

3. Term and Termination

3.1 Term. The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

3.2 Termination for Cause. Either Party may terminate this Agreement for material breach by the other Party if such breach remains uncured for a period of thirty (30) days following written notice. Termination shall not relieve Client of the obligation to pay for Services performed prior to the effective date of termination.

4. Confidentiality

4.1 Definition. "Confidential Information" means non-public information disclosed by a Party relating to business operations, pricing, processes, trade secrets, client lists, or other proprietary information designated as confidential or that reasonably should be understood to be confidential.

4.2 Obligations. Each Party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations no less protective than those set forth herein, and (c) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

4.3 Exclusions. Confidential Information does not include information that is (a) publicly known through no fault of the receiving Party, (b) rightfully received from a third party without restriction, (c) independently developed by the receiving Party without using the disclosing Party's Confidential Information, or (d) required to be disclosed by applicable law, provided the receiving Party gives reasonable prior notice to the disclosing Party and limits disclosure to the extent required.

5. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The Parties submit to the exclusive jurisdiction of the courts located in that State for resolution of disputes.

6. Entire Agreement and Miscellaneous

6.1 Entire Agreement. This Agreement, including any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written.

6.2 Amendment. No amendment or modification of this Agreement shall be effective unless in a writing signed by authorized representatives of both Parties.

6.3 Assignment. Neither Party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other Party, except that either Party may assign this Agreement to an affiliate or in connection with the sale of substantially all of its assets or equity.

6.4 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
