Common preparation errors to avoid

  • Using informal or inconsistent party names that do not match formation records, which can challenge enforceability or payment setup.
  • Failing to specify clear payment terms and invoicing instructions, resulting in disputes over amounts, due dates, or currency.
  • Skipping verification of signer authority, exposing the agreement to later claims the signatory lacked capacity to bind the organization.
  • Misapplying conditional clauses or leaving undefined terms that create ambiguous performance obligations and increase litigation risk.

Consequences of errors or incomplete execution

Enforceability Risk: Agreement may be contested
Payment Delays: Invoices may be withheld
Regulatory Exposure: Possible fines or corrective action
Tax Impact: Withholding or reporting issues
Operational Disruption: Project start delays
Reputational Harm: Partner trust erodes
