Practical tips to reduce errors and accelerate approval

These best practices reduce errors, accelerate approvals, and help preserve legal enforceability across departments and external partners.

Confirm signatory authority in writing
Before sending, confirm the signer has authority to bind their organization. Obtain board resolutions, POA, or delegation letters where corporate authorization is required. Incorrect signatory authority can render the agreement voidable and expose your organization to risk.
Use standardized templates and version control
Keep a single master template and apply incremental version numbers or dates. Track edits in a change log to show negotiation history. Version control reduces contradictions and simplifies archival retrieval during audits or disputes.
Require clear dates; use MM/DD/YYYY format
Standardize date fields to MM/DD/YYYY and ensure every signature line includes a date. Inconsistent dates create ambiguity about obligations and can affect filing deadlines or statute of limitations calculations. Double-check timezone references for deadlines.
Preserve electronic audit trails and backups
Maintain immutable audit logs that record IP addresses, timestamps, and signer actions. Store signed PDFs with certificates and secure backups. Retention policies must meet federal and industry rules to avoid evidentiary gaps during litigation or regulatory review.
