1099 Penalties: $60–$330 per form depending on lateness
Intentional Disregard: $660+ per form, no cap

Common preparation mistakes to watch for

  • Incomplete payer or payee identification — leaving entity type, TIN, or legal name blank can delay payments and create tax-reporting issues that are time-consuming to correct.
  • Ambiguous scope language — vague deliverable descriptions or missing acceptance criteria often lead to disputes about whether performance obligations were satisfied.
  • Incorrect dates and effective periods — misentered effective or termination dates can unintentionally extend obligations or trigger renewal clauses.
  • Missing attachments or exhibits — forgetting referenced SOWs, schedules, or pricing exhibits undermines the contract’s enforceability and creates operational confusion.
