BUSINESS DOCUMENT HELMWAY

This General Business Agreement ("Agreement") is entered into as of Effective Date: by and between the parties identified below.

PARTIES

RECITALS

WHEREAS, Client seeks to retain Service Provider to perform certain business, consulting, development or operational services as specified in this Agreement; and

WHEREAS, Service Provider represents that it has the qualifications, experience and ability to perform such services in accordance with the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth the terms governing the services, compensation and other obligations in a single, binding Agreement.

SCOPE OF WORK

Service Provider shall perform the services described below. The parties acknowledge that all work shall be performed in a professional manner in accordance with industry standards and any schedules agreed below.

PAYMENT TERMS

Client shall pay Service Provider the compensation described below in consideration for the services rendered. All fees are exclusive of taxes unless otherwise stated.

Late payments shall incur interest at the lesser of (i) a monthly rate of percent per month, or (ii) the maximum rate permitted by law. In addition, Client shall be responsible for any collection costs and reasonable attorneys' fees incurred by Service Provider in enforcing payment obligations.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon written notice delivered no fewer than days in advance. Either party may terminate immediately for material breach if the breach remains uncured for a period of thirty (30) days after written notice specifying the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall hold in confidence and not disclose to any third party any non-public information, materials, trade secrets or other proprietary information (collectively "Confidential Information") disclosed by the other party (the "Disclosing Party") in connection with this Agreement. Confidential Information shall not include information that: (a) is or becomes generally available to the public other than by breach of this Agreement; (b) was known to the Receiving Party prior to disclosure, as demonstrated by written records; (c) is rightfully received from a third party without restriction; or (d) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information.

The Receiving Party may disclose Confidential Information to the extent required by law or valid order of a court or governmental body, provided that, to the extent permitted, the Receiving Party gives the Disclosing Party prompt written notice and cooperates in seeking a protective order or other appropriate remedy.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that jurisdiction for any action arising out of or relating to this Agreement.

MISCELLANEOUS

Entire Agreement: This Agreement, including any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written.

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will continue in full force and effect and the parties shall negotiate in good faith a substitute valid provision.
