Confirm legal names and signer authority before sending
Validate entity names against formation documents or government IDs, and request corporate resolutions or power-of-attorney when signing authority is not evident.
Use unambiguous payment and performance language
State fixed amounts, deliverables, timelines, and acceptance criteria to reduce later disputes and to ensure clear accounting and tax treatment.
Choose governing law sensibly and consistently
Pick the jurisdiction that aligns with operations and counsel experience; inconsistent forum clauses can add litigation risk and cost.
