Best Practices for a Clear, Enforceable Agreement

Follow these practices to make a clear, enforceable Business Document Holdings Ltd and minimize compliance and operational risk.

Confirm signatory authority in corporate records
Before execution, verify that signatories are authorized by corporate bylaws, board resolutions, or power of attorney. Attach or reference supporting documentation to avoid later challenges to the validity of custody transfers.
Specify whether originals or copies
Clearly state whether certified originals, notarized copies, or electronic records satisfy custody. Ambiguity leads to disputes and may affect compliance with regulators or auditors, and specify acceptable authentication methods and retention metadata to preserve evidentiary value during legal review.
Use clear retention schedules and destruction policies
Map retention periods to applicable federal and state laws, noting HIPAA, IRS, and SEC obligations where relevant. Define secure destruction procedures, certificates of destruction, and archival triggers to ensure defensible records disposition.
Leverage audit trails and strong authentication
Require signed records to include timestamped audit trails, signer attribution, IP addresses, and cryptographic seals when needed. Use multi-factor or KBA authentication for high-risk transfers and retain logs to support legal admissibility.
