This Business Document HOSIHO (the "Agreement") is made effective as of by and between:

RECITALS

WHEREAS, Service Provider has experience and expertise in providing business advisory, project management, and related professional services required by Client; and

WHEREAS, Client desires to engage Service Provider to perform certain services as set forth in this Agreement and Service Provider agrees to perform such services under the terms and conditions set forth herein.

WHEREAS, the parties intend that the terms of their working relationship be reduced to writing and that this Agreement governs their obligations and allocations of risk.

SCOPE OF WORK

Service Provider shall perform the services described below in a professional and timely manner consistent with industry standards. The specific tasks, deliverables, and milestones shall be as follows:

PAYMENT TERMS

Client shall pay Service Provider in accordance with the following terms. All payments are due without setoff.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate immediately for material breach if such breach is not cured within days after written notice of breach. Termination shall not relieve Client of its obligation to pay amounts accrued to the date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") acknowledges that in connection with this Agreement it may receive Confidential Information of the other party (the "Disclosing Party"). Confidential Information means non-public information disclosed in any form that is designated confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

The Receiving Party shall (a) protect Confidential Information with at least the same degree of care as it uses to protect its own confidential information, but not less than reasonable care; (b) use Confidential Information solely for performance under this Agreement; and (c) not disclose Confidential Information to any third party except to its employees, contractors, and advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

Confidential Information does not include information that (i) is or becomes generally available to the public other than through a breach of this Agreement; (ii) was rightfully in the Receiving Party's possession without restriction prior to receipt from the Disclosing Party; (iii) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (iv) is required to be disclosed by law, provided the Receiving Party gives prompt written notice to the Disclosing Party to allow it to seek protective relief.

The confidentiality obligations shall survive termination of this Agreement for a period of unless otherwise required by law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the courts located within that state for resolution of disputes.

LIMITATION OF LIABILITY

Except for liability arising from willful misconduct or breaches of confidentiality, in no event shall either party be liable to the other for incidental, consequential, punitive, or exemplary damages, and the aggregate liability of either party arising out of or related to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the twelve (12) month period preceding the event giving rise to the claim.

ENTIRE AGREEMENT

This Agreement, including any exhibits and attachments hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its assets.

Notices required under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by written notice.
