Who Has Authority to Sign

Authorized Officer

An authorized officer or corporate signatory with board or bylaw authority should sign on behalf of the legal entity; include a reference to a board resolution or power of attorney when authority is not evident to prevent later disputes over signature validity.

Delegated Agent

Procurement managers or delegated agents may sign under written delegation. Attach or reference a signed authorization or limited power of attorney and record the delegation scope, effective dates, and any limitations in the document.

Practical Tips for Accurate and Efficient Completion

Adopt consistent templates, validate signer authority, use clear deliverable definitions, and configure electronic workflows to prevent common execution errors.

Standardize clause language across templates
Use standardized clause language to minimize negotiation cycles and simplify compliance reviews. Maintain a clause library with approved alternatives and require legal sign-off for deviations to reduce review time and legal risk.
Validate signer identity before execution
Require appropriate authentication — at minimum an email confirmation or SMS code for external signers; for high-risk transactions use KBA or two-factor authentication to support attribution and evidentiary weight.
Attach exhibits and schedules as appendices
Include detailed exhibits for technical specifications, pricing schedules, and milestone calendars. Reference attachments explicitly in the main body to ensure enforceability and simplify dispute resolution.
Preserve audit trail and version control
Retain the platform-native record and export signed PDF/A with the audit certificate. Log reviewer comments separately and avoid post-signature edits to maintain evidentiary integrity.
