BUSINESS DOCUMENT JANNEY

This Business Services Agreement ("Agreement") is entered into as of by and between the parties identified below.

SCOPE OF WORK

Contractor shall perform the services and deliverables described below. The description below constitutes the complete scope of Contractor’s obligations under this Agreement unless amended in writing signed by both parties.

PAYMENT TERMS

Client shall pay Contractor the total compensation set forth below in consideration for the services performed. All fees are exclusive of applicable taxes unless otherwise stated.

Late payments shall incur interest and fees as specified below.

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated in accordance with this Section, expires on .

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Termination for cause by either party shall be effective immediately upon written notice if the other party breaches a material obligation and fails to cure within thirty (30) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that in the course of performing under this Agreement it may receive confidential or proprietary information ("Confidential Information") of the other party. Each party shall (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure of Confidential Information to its employees, agents, or contractors who have a need to know and who are bound by confidentiality obligations no less restrictive than those in this Agreement; and (c) exercise at least the same degree of care it uses to protect its own confidential information, but no less than a reasonable degree of care. Confidential Information does not include information that is or becomes publicly available other than through a breach of this Agreement, is rightfully received from a third party without restriction, or is independently developed without use of the other party’s Confidential Information.

The obligations of confidentiality shall continue for a period of years following termination or expiration of this Agreement, except with respect to trade secrets which shall remain protected for as long as such information qualifies as a trade secret under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, representations and understandings, whether written or oral. This Agreement may be amended only by a written instrument signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign its rights or delegate its duties under this Agreement without the other party's prior written consent, except that either party may assign this Agreement in connection with a merger, sale of substantially all assets, or change of control. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Notices under this Agreement shall be given in writing to the addresses set forth above and shall be deemed delivered upon personal delivery, one business day after deposit with an overnight courier, or three business days after deposit in the U.S. mail, postage prepaid.
