This General Business Agreement (the Agreement) is entered into as of (Effective Date), by and between:

RECITALS

If Client fails to pay undisputed amounts when due, Client shall be liable for interest and charges as set forth below.

Late fees will be calculated on overdue balances after the grace period and accrue monthly until paid. All payments are first applied to fees and interest, then to principal.

TERM AND TERMINATION

This Agreement shall commence on and continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party (the Receiving Party) shall maintain the confidentiality of Confidential Information disclosed by the other party (the Disclosing Party). "Confidential Information" means information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, pricing, trade secrets, customer lists and technical data.

The Receiving Party shall (a) use the Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees, agents or subcontractors who need to know and who are bound by confidentiality obligations no less protective than those herein; and (c) take reasonable measures to protect such Confidential Information from unauthorized use or disclosure.

Confidential Information shall not include information that (i) is or becomes publicly available without breach of this Agreement by the Receiving Party; (ii) is rightfully received from a third party without restriction; (iii) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information; or (iv) is required to be disclosed by law, provided the Receiving Party provides prompt notice and assists in obtaining a protective order.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for any dispute arising under this Agreement.

ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Contractor may assign to an affiliate or in connection with a sale of substantially all of its assets.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing. Notices shall be deemed given when delivered personally, sent by confirmed overnight courier, or three (3) business days after deposit in the United States mail, postage prepaid, certified or registered mail.
