What the Business Document Johnston Is and When It Applies

The Business Document Johnston is a standardized business agreement template used to record commercial terms, responsibilities, and effective dates between parties in a commercial transaction. It combines core contractual provisions—parties, scope of work, payment terms, duration, termination, and governing law—into a single form that businesses can reuse for supplier, client, or partner relationships. The template is designed for clarity and to support both paper and electronic execution, while allowing for attachments (exhibits) that set technical or pricing details outside the main body of the form.

Why the Business Document Johnston Matters for Business Operations

A clear, consistent written agreement reduces ambiguity, speeds negotiations, and creates an auditable record of obligations and dates. Properly completed, it supports compliance with ESIGN (15 U.S.C. ch. 96) and UETA where electronic execution is used, and helps limit downstream disputes by documenting scope, payment terms, and termination mechanics.
