This General Business Agreement ("Agreement") is entered into as of by and between Client Name: with principal address , and Service Provider Name: with principal address .

WHEREAS

WHEREAS, Client requires certain business services and deliverables described herein and desires to engage Service Provider to perform such services under the terms and conditions set forth in this Agreement; and

WHEREAS, Service Provider represents that it has the experience, personnel, and capacity to perform the services and deliverables described in this Agreement in a professional manner consistent with industry standards.

SCOPE OF WORK

Service Provider shall perform the services and deliver the work products described below. The parties acknowledge that the description is an integral part of this Agreement and performance shall be measured against the obligations set forth in this section.

PAYMENT TERMS

Compensation for the services described in the Scope of Work shall be paid as provided in this Payment Terms section. Client shall pay Service Provider in lawful currency and in accordance with the schedule below.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and shall continue in effect until the End Date, unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above. Termination shall not relieve Client of the obligation to pay for services performed and costs incurred through the effective date of termination.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall (a) hold Confidential Information in strict confidence, (b) not disclose Confidential Information to any third party except as expressly permitted by this Agreement, and (c) use Confidential Information solely to perform its obligations under this Agreement. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, already known by the receiving party without restriction at the time of disclosure, or rightfully received from a third party without breach of any obligation of confidentiality.

Upon termination or expiration of this Agreement, the receiving party shall promptly return or destroy all Confidential Information of the disclosing party and certify in writing that it has complied with this obligation, except to the extent retention is required by law, in which case retained Confidential Information shall remain subject to the confidentiality obligations herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for any action arising out of or relating to this Agreement.

MISCELLANEOUS

Entire Agreement: This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all of its business without Client's consent, provided that the assignee assumes Service Provider's obligations hereunder.

REPRESENTATIONS; LIMITATION OF LIABILITY

Each party represents and warrants that it has the authority to enter into this Agreement and to perform its obligations hereunder. Except for willful misconduct or gross negligence, neither party will be liable for incidental, consequential, special, or punitive damages arising out of or related to this Agreement. The aggregate liability of either party for claims arising out of or related to this Agreement shall not exceed the total fees paid by Client to Service Provider under this Agreement during the preceding twelve (12) months.
