Parties and Effective Date

This General Business Agreement (the Agreement) is entered into as of by and between:

Recitals

WHEREAS, Party A desires to retain Party B to perform certain business services and deliverables described herein, and Party B is willing to provide such services under the terms and conditions of this Agreement; and

WHEREAS, the parties intend that the services to be performed, the schedule for delivery, and the fees payable shall be set forth in this Agreement and any attachments incorporated by reference; and

WHEREAS, the parties acknowledge that timely performance, confidentiality, and compliance with applicable laws are material obligations under this Agreement.

Scope of Work

Party B shall perform the services and deliver the work products described below. The scope may be modified only by mutual written amendment signed by authorized representatives of both parties.

Payment Terms

In consideration for the services provided under this Agreement, Party A shall pay Party B the fees and expenses set forth below. All fees are payable in United States dollars unless otherwise agreed in writing.

Late payments shall accrue interest at the lesser of (a) % per month or (b) the maximum rate permitted by applicable law. Additionally, a one-time administrative late fee of may be charged.

Term and Termination

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate for material breach if the breach remains uncured thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information excludes information that: (a) is or becomes generally available to the public other than as a result of a breach of this Agreement; (b) was lawfully known to the receiving party prior to disclosure; or (c) is independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.

The receiving party shall hold Confidential Information in strict confidence, shall not disclose it to third parties except to employees, contractors or advisors who have a need to know and are bound to protect the information, and shall use it only for the purposes of performing this Agreement. These obligations shall survive termination of this Agreement for a period of days.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes.

Miscellaneous

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that a party may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.

Remedies; Injunctive Relief: The parties acknowledge that a breach of confidentiality or of the intellectual property provisions would cause irreparable harm for which monetary damages would be inadequate, and agree that injunctive relief is an appropriate remedy in addition to other available remedies.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

This Agreement, together with any written exhibits or attachments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses supplied in this Agreement or to such other address as either party may designate by written notice to the other. Notices shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three (3) days after deposit in the U.S. mail, postage prepaid.
