Payment Terms

Any undisputed past-due amount shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by applicable law. Additionally, Party A may suspend performance if undisputed payments are not received within days after written notice of nonpayment.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by either party that is designated as confidential or that, by its nature, should reasonably be understood to be confidential. Each party shall: (a) hold the other party's Confidential Information in strict confidence; (b) use the same degree of care to protect such Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care; and (c) not disclose such Confidential Information to any third party except as necessary to perform its obligations under this Agreement and subject to confidentiality obligations no less protective than those contained herein.

Confidentiality obligations shall survive termination of this Agreement for a period of years, except with respect to trade secrets, which shall remain protected for as long as they qualify as trade secrets under applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising out of or relating to this Agreement.

Entire Agreement; Miscellaneous

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect and the parties shall negotiate in good faith to replace the invalid provision with a valid provision that achieves, to the extent possible, the intended economic effect of the original provision.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or such other address as either party may designate by notice in accordance with this section. Notices shall be deemed given upon personal delivery, delivery by nationally recognized overnight courier, or three (3) days after deposit in the United States mail, certified mail, return receipt requested.
