What the Business Document Keep Document Is

The Business Document Keep Document is an internal record used to identify, classify, and authorize retention or disposal of business records. It documents custodianship, retention schedules, access restrictions, and the legal basis for keeping or destroying a record. Organizations use it to demonstrate consistent retention practices, support audits, and meet regulatory obligations under federal statutes and industry rules such as ESIGN (15 U.S.C. ch. 96), UETA, HIPAA, and IRS recordkeeping requirements.

Why maintaining a clear keep document matters

A documented retention decision reduces legal risk, ensures regulatory compliance, and creates a defensible audit trail for litigation or regulatory review.

Why maintaining a clear keep document matters

Who typically completes this document

The Business Document Keep Document is completed by staff who manage records, compliance, or legal obligations within an organization.

  • Records and Compliance Teams: Maintain retention schedules, map records to policies, and coordinate legal holds.
  • Business Unit Managers: Identify operational relevance, propose retention periods, and confirm destruction readiness.
  • Legal Counsel / Risk: Approve legal holds, verify statutory retention periods, and sign off on disposition.

Clear role delineation helps ensure consistent decisions, signature authority, and timely review cycles.

Core elements included in a professional keep document

A practical keep document combines identification, retention rules, access controls, and approval metadata to support defensible retention and disposal decisions.

Document ID

Unique identifier or code for the record to avoid confusion across systems and link to the retention schedule and metadata.

Record Type

Concise classification (e.g., Financial, HR, Contract) to determine applicable retention rules and regulatory citations for each category.

Retention Period

Explicit retention length (years or event-triggered), the legal or policy basis, and a date when review or destruction is permitted.

Custodian

Named individual or department responsible for access, preservation, and execution of disposition actions for the record.

Approval & Signature

Authorized signer, signature date, and role; indicates legal review and organizational approval of retention or disposal.

Storage & Access

Physical or electronic location, encryption or access controls, and any special handling instructions for sensitive data.

Technical requirements for electronic completion

Ensure the chosen platform supports secure storage, audit trails, and the authentication methods needed for your risk level.

  • Integrations: Salesforce, NetSuite, Microsoft 365 supported
  • File formats: PDF, DOCX, and Excel supported
  • Authentication: Email, SMS, KBA, or SSO options

Typical eSubmission flow for retention decisions

A consistent eSubmission flow ensures an auditable record from initiation through approval, storage, and eventual disposition.

  • Route: Send to approvers in order.
  • Authenticate: Signer completes verification step.

Key deadlines and processing expectations

Different records trigger different statutory deadlines; track both retention start dates and periodic review milestones.

Lifecycle milestones for a keep decision

These milestones show the sequential stages from creation to final disposition for a retained document.

01

Document created and assigned a unique identifier.

02

Approval

Retention period and custodian approved by authorized person.

03

Review

Periodic review date arrives for retention reassessment.

04

Penalties and legal risks of incorrect retention

1099 Filing Penalties: Per-form $60–$330; $660+ intentional
I-9 Violations: $281–$2,789 per violation
HIPAA Breach Fines: Civil and potential criminal penalties
Evidence Spoliation: Court sanctions or adverse inference
Contract Risk: Loss of enforceability or missing proofs
Data Privacy Fines: State privacy penalties under CCPA, etc.

Common preparation mistakes to avoid

  • Using vague retention terms such as 'as needed' without legal approval creates enforcement gaps and inconsistent outcomes across departments.
  • Failing to capture a clear approval signature or date undermines the document’s evidentiary weight during audits or litigation.
  • Storing only scanned images without metadata makes automated searches and legal holds slow and error-prone during discovery.
  • Mixing records required by different laws (tax, HIPAA, employment) without separate controls increases exposure to multiple regulatory penalties.

Security and compliance controls to include

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Audit Trail: Timestamped actions with IP and user attribution
Certifications: SOC 2 Type II and ISO 27001 compliance
HIPAA: HIPAA support with BAA required
ESIGN / UETA: Compliant with ESIGN and UETA standards
21 CFR Part 11: Supports FDA-regulated cryptographic controls
