BUSINESS DOCUMENT KENTON

This Business Services Agreement (this "Agreement") is entered into as of Effective Date: by and between Client Name: with principal address , and Service Provider Name: .

WHEREAS

WHEREAS, Client engages Service Provider to perform certain business services and deliverables as described herein; and

WHEREAS, Service Provider represents that it has the expertise, personnel and resources necessary to perform the services in a professional manner and in accordance with applicable law; and

WHEREAS, the parties desire to set forth the terms and conditions that will govern the provision of services, payment, and other mutual obligations.

SCOPE OF WORK

Service Provider shall perform the services and provide deliverables as set forth below. The parties acknowledge that timely performance and detailed deliverables are material to this Agreement.

PAYMENT TERMS

Client shall pay Service Provider in consideration for the services described in the Scope of Work. Payments shall be made in United States dollars and based on the schedule agreed below.

Invoices shall be issued in accordance with the Payment Schedule. Unless otherwise agreed in writing, Client shall pay undisputed invoices within the number of days set forth in the Payment Schedule. Disputed portions of an invoice may be withheld while the parties resolve the dispute in good faith, provided undisputed amounts are paid when due.

TERM AND TERMINATION

This Agreement commences on Start Date: and will continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party not less than days prior to the effective date of termination.

Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential all non-public information disclosed by the other party (the "Disclosing Party") and marked or otherwise identified as confidential or which reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). The Receiving Party shall not use or disclose Confidential Information except as necessary to perform its obligations under this Agreement or as required by law.

Confidential Information does not include information that: (a) is or becomes generally available to the public other than through a breach of this Agreement; (b) was lawfully known to the Receiving Party prior to disclosure; (c) is rightfully received from a third party without breach of any obligation of confidentiality; or (d) is independently developed by the Receiving Party without use of or reference to the Disclosing Party's Confidential Information.

Upon termination or expiration of this Agreement, the Receiving Party shall, at the option of the Disclosing Party, return or destroy all Confidential Information and certify in writing that it has done so, except that Receiving Party may retain one archival copy for legal or compliance purposes subject to the confidentiality obligations herein.

NOTICES

All notices and communications under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail (return receipt requested), or overnight courier, or by email with confirmed receipt.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of or relating to this Agreement.

MISCELLANEOUS

Entire Agreement: This Agreement, including any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior oral or written agreements, proposals, or communications. No amendment or modification shall be binding unless in writing and signed by authorized representatives of both parties.

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement to an affiliate or successor in connection with a merger, sale of substantially all assets, or similar transaction provided the assignee assumes the assigning party's obligations hereunder.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect and the invalid or unenforceable provision shall be replaced by a valid provision that most closely reflects the parties' original intent.
