Common preparation pitfalls to avoid

  • Using informal or abbreviated party names that do not match legal registration records, causing payment or enforcement complications.
  • Omitting an explicit effective date or using inconsistent date formats that create disputes about when obligations begin.
  • Leaving consideration vague (for example, 'compensation to be agreed') which can render the contract unenforceable for lack of mutuality.
  • Failing to name authorized signers or to verify signatory authority before execution, leading to later challenges about authority.

Practical tips for accurate and efficient completion

Follow these best practices to reduce review cycles and improve legal robustness of the executed document.

Use precise definitions
Define key terms at the start (Services, Deliverables, Acceptance). Clear definitions avoid interpretive disputes and streamline later amendments.
Confirm signer authority
Verify corporate signatory authority through recent board minutes or officer certificates for corporate parties to prevent ratification issues.
Attach exhibits
Include SOWs, schedules, and pricing as numbered exhibits that are incorporated by reference to avoid ambiguity about deliverables.
Maintain audit trail
Record the signing process, timestamps, and IP addresses when using e-signatures to support attribution and compliance.
