RECITALS

This General Business Agreement (the Agreement) is entered into as of the Effective Date set forth below by and between:

WHEREAS, Client desires to obtain certain business services described herein and Provider represents that it possesses the requisite expertise, personnel and resources to perform such services in accordance with the terms of this Agreement; and

WHEREAS, the parties wish to set forth the scope, payment terms, confidentiality obligations and other material terms governing the business relationship between them.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

SCOPE OF WORK

Provider shall perform the services and deliverables described below in a timely and professional manner consistent with industry standards. Provider will assign qualified personnel, supervise subcontractors (if any), and comply with Client's reasonable policies provided in writing.

PAYMENT TERMS

Client shall pay Provider the fees for services as set forth in this section. All payments are exclusive of taxes, which shall be paid by Client where applicable.

Invoices shall be issued by Provider in accordance with the Payment Schedule. Unless otherwise stated on an invoice, payments are due within days of invoice date. Any undisputed amount not paid when due shall accrue interest at the lesser of per month or the maximum permitted by law, plus all costs of collection, including reasonable attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the End Date or until earlier terminated as provided herein.

Either party may terminate this Agreement for cause if the other party materially breaches any provision and fails to cure the breach within the notice period specified above. Either party may also terminate for convenience upon providing the notice set forth above. Upon termination, Client shall pay Provider for all services performed and reasonable non-cancellable obligations incurred through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that it may receive Confidential Information from the other party. "Confidential Information" means non-public business, technical and financial information disclosed in any form and marked as confidential or that a reasonable person would understand to be confidential.

Each receiving party shall (a) protect the disclosing party's Confidential Information with at least the same degree of care it uses to protect its own similar information but not less than reasonable care; (b) use such Confidential Information only for the purposes of performing this Agreement; and (c) not disclose such Confidential Information to any third party except to employees or contractors having a need to know and bound by obligations of confidentiality at least as protective as those in this Agreement.

The obligations in this section shall survive termination of this Agreement for the period specified above or to the extent required by applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of: without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for any dispute arising out of or relating to this Agreement.

ENTIRE AGREEMENT

This Agreement, including all schedules and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. No amendment, modification or waiver shall be effective unless it is in writing and signed by an authorized representative of each party.

MISCELLANEOUS PROVISIONS

Assignment: Neither party may assign its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a change of control.

Indemnification: Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims arising out of the indemnifying party's gross negligence or willful misconduct in performing its obligations under this Agreement, subject to any liability limitations below.

NOTICES

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth below by hand, reputable overnight courier, or certified mail (return receipt requested), or by email if confirmed in writing by the receiving party.
