Key risks and potential penalties to watch for

Invalid Signature: May threaten enforceability under ESIGN/UETA
Missing Notary: Can delay recording or acceptance
Incorrect Party Name: Triggers payment rejection or voiding
Late Submission: Could incur statutory penalties
Missing Tax Forms: Backup withholding or penalties apply
I-9 Noncompliance: Penalties range $281–$2,789 per violation

Common preparation mistakes that cause delays

  • Incomplete party details—abbreviated names, inconsistent entity types, or missing addresses—cause payment delays, impede notarization, and complicate legal enforcement.
  • Using vague consideration language like 'fair market value' without a dollar amount makes damages harder to calculate and increases litigation risk.
  • Failing to attach key exhibits such as scopes, schedules, or insurance certificates can create gaps in contractual obligations and audit trails.
  • Relying on handwritten signatures scanned into PDFs without an audit trail reduces evidentiary value compared with timestamped electronic signatures.
