RECITALS

All Fees are exclusive of taxes, duties, and other governmental assessments. Party B shall be responsible for all taxes on payments, except taxes based on Party A's net income.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party no fewer than days prior to the intended termination date.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice describing the breach with reasonable particularity. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, technical data, pricing, and customer lists.

The Receiving Party shall: (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to employees or contractors with a need to know and who are subject to confidentiality obligations at least as protective as those in this Agreement.

The obligations in this Confidentiality section shall not apply to information that the Receiving Party can demonstrate: (i) is or becomes publicly known through no breach of this Agreement; (ii) was rightfully in the Receiving Party's possession prior to disclosure; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed without use of the Disclosing Party's Confidential Information.

Confidentiality obligations shall survive termination or expiration of this Agreement for a period of years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to principles of conflict of laws. The parties submit to the exclusive jurisdiction of the courts located in the chosen jurisdiction for resolution of any disputes arising under this Agreement.

MISCELLANEOUS

Entire Agreement: This Agreement, together with any attachments and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written.

Assignment: Neither party may assign or transfer its rights or obligations under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement to a successor in interest in connection with a merger, sale of substantially all assets, or other change of control.

Amendment: No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
