SCOPE OF WORK

Service Provider shall perform the services described below in a professional manner consistent with applicable standards. The parties agree that the work shall include deliverables, milestones, and acceptance criteria as set forth by the following description.

PAYMENT TERMS

In consideration for the services rendered, Client shall pay Service Provider in accordance with the terms set forth below. All payments must be made in cleared funds and are non-refundable except as expressly stated.

Any amounts not paid within the agreed payment period shall accrue interest at the lesser of (i) the rate of per month or (ii) the maximum rate permitted by applicable law. In addition, Client shall be responsible for reasonable collection costs, including attorneys' fees.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and, unless earlier terminated in accordance with this Section, end on End Date: .

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Either party may terminate immediately for material breach that remains uncured for a period of thirty (30) days following written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for services performed and expenses incurred prior to the effective date of termination.

CONFIDENTIALITY

Each party (the Recipient) shall hold in strict confidence all confidential or proprietary information disclosed by the other party (the Discloser). Confidential Information includes, without limitation, business plans, financials, trade secrets, customer lists, and technical information. The Recipient shall not disclose Confidential Information to any third party except to employees or agents who have a need to know and who are bound to confidentiality obligations at least as protective as those in this Agreement.

The obligations under this Confidentiality section shall continue for a period of years from the date of disclosure, except with respect to trade secrets which shall remain protected for so long as they qualify as trade secrets under applicable law. Notwithstanding the foregoing, Confidential Information does not include information that (a) is or becomes generally available to the public through no improper act of the Recipient, (b) was lawfully in the Recipient’s possession prior to disclosure, or (c) is rightfully received from a third party without restriction.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Agreement.

REPRESENTATIONS AND WARRANTIES; INDEMNITY

Each party represents that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Service Provider warrants that services will be provided in a professional and workmanlike manner consistent with industry standards. Each party shall indemnify and hold harmless the other party from and against any third-party claims arising from the negligence, willful misconduct, or breach of this Agreement by the indemnifying party.

ENTIRE AGREEMENT

This Agreement, including any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or in connection with a merger or sale of substantially all of its assets.
