RECITALS

WHEREAS, Client operates a business requiring the services described herein and has engaged Provider to perform such services pursuant to the terms and conditions set forth in this Agreement;

Invoices shall be due within days of invoice receipt. Late payments shall incur interest at the rate of % per month (or the maximum permitted by applicable law), calculated monthly on the outstanding balance.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in force until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for convenience upon providing days' prior written notice to the other party. Either party may terminate immediately for material breach if the breach remains uncured for thirty (30) days after written notice specifying the breach. Termination shall not relieve Client of its obligation to pay for work performed and expenses incurred prior to termination.

CONFIDENTIALITY

For the purposes of this Agreement, "Confidential Information" means non-public information disclosed by either party that is designated confidential or that reasonably should be understood to be confidential. Each party agrees to: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as required for performance of this Agreement or as permitted in writing by the disclosing party; and (c) take reasonable measures to protect the confidentiality of such information, not less than the measures it uses to protect its own confidential information.

Confidentiality obligations shall survive termination or expiration of this Agreement for a period of years, except that trade secrets shall be protected for so long as they remain trade secrets under applicable law.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for any disputes arising under this Agreement.

MISCELLANEOUS

Entire Agreement: This Agreement, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral.

Amendments: No amendment or modification of this Agreement shall be binding unless in writing and signed by authorized representatives of both parties.

Assignment: Neither party may assign or transfer its rights or delegate its duties under this Agreement without the prior written consent of the other party, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of substantially all of its assets.
