Common Preparation Errors to Avoid

  • Using informal or abbreviated legal names that do not match formation or tax records, causing payment holds or contract challenges.
  • Leaving key fields blank or marked 'TBD' for essential terms like price, scope, or effective date, which can create ambiguity in enforcement.
  • Failing to define signatory authority or relying on a signer without delegation, leading to disputes over the agreement's validity.
  • Skipping audit trail preservation when using electronic signing; missing timestamps or signer identity evidence can weaken enforceability.

Potential Consequences of an Incorrect or Incomplete LeyRd1

Contract Invalidity: Risk of unenforceable terms
Payment Delays: Invoicing and collections impacted
Regulatory Fines: Agency penalties possible
Tax Exposure: Incorrect reporting or withholding
Operational Disruption: Project delays and scope disputes
Litigation Risk: Higher dispute and defense costs
