BUSINESS DOCUMENT LINDUM GROUP

This General Business Agreement ("Agreement") is made and entered into as of Effective Date: by and between Client Name: with principal address at , and Service Provider: (collectively, the "Parties").

WHEREAS

WHEREAS, Client desires to engage Service Provider to perform certain professional services described herein, and Service Provider represents that it has the expertise, personnel and resources to perform such services in a competent and professional manner; and

Late Fee: If Client fails to make any payment when due, Client shall pay a late fee equal to per month on the unpaid balance, or the maximum amount permitted by law, whichever is less. All payments are due without setoff or deduction.

Either Party may terminate this Agreement for convenience upon providing written notice at least days prior to the effective date of termination. Either Party may terminate this Agreement immediately for material breach by the other Party if such breach remains uncured for a period of thirty (30) days following written notice of the breach.

CONFIDENTIALITY

Each Party acknowledges that during the performance of this Agreement it may receive or have access to certain confidential or proprietary information of the other Party ("Confidential Information"). Each Party agrees to: (i) hold the other Party's Confidential Information in strict confidence; (ii) not to disclose such Confidential Information to any third party except as expressly permitted by this Agreement or with prior written consent; and (iii) use the Confidential Information solely for the performance of this Agreement. Confidential Information shall not include information that is (a) already known to the receiving Party without restriction at the time of disclosure; (b) becomes publicly known other than through breach of this Agreement; or (c) is rightfully received from a third party without restriction.

I acknowledge that the Parties shall be bound by mutual confidentiality obligations as set forth above.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, nationally recognized courier, or certified mail (return receipt requested), and shall be deemed effective upon receipt.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The Parties submit to the exclusive jurisdiction of the state and federal courts located within that state for resolution of any disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or written amendments signed by authorized representatives of both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations, and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties.

ADDITIONAL PROVISIONS

Relationship of Parties: The Parties are independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between the Parties.

Limitation of Liability: Except for liability arising from willful misconduct or gross negligence, neither Party shall be liable to the other for incidental, consequential, special, or punitive damages. The aggregate liability of either Party for any claim arising out of or related to this Agreement shall not exceed the total amounts paid by Client to Service Provider under this Agreement during the twelve (12) months preceding the event giving rise to the claim.
